Terms of Service

Please read these Terms of Service ("Terms") carefully before using Verdeshell CRM. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

"Service" means the Verdeshell CRM platform and all associated modules (Sales, Interior Design, Nutrition, Service). "Subscriber" means the organization that creates an account and pays for the Service. "User" means any individual authorized by the Subscriber to access the Service. "User Content" means all data, files, text, messages, records and other materials that Subscribers or Users submit to, store in, or transmit through the Service, including data concerning the Subscriber's own clients and contacts.

2. Access & Accounts

You must be 18 years or older to use the Service. You are responsible for maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized access. Each account may be used only by the named Subscriber and its authorized Users. Sharing accounts is not permitted.

3. Acceptable Use

You agree not to use the Service to: (a) violate any applicable law or regulation, or facilitate any unlawful activity; (b) upload, store or transmit malicious code, spam, or content that is illegal, infringing, defamatory, obscene or harmful; (c) infringe the intellectual-property, privacy or other rights of any person; (d) process personal data without a valid lawful basis or required consent; (e) send unsolicited or unlawful communications, or communications that violate the WhatsApp Business Policy, TRAI/DLT rules or applicable anti-spam laws; (f) carry on any regulated activity (including lending or financial services) otherwise than in compliance with the laws and licences applicable to you; (g) reverse-engineer, decompile or extract our source code, or use the Service to build a competing product; (h) exceed rate limits or automate access other than through official APIs; or (i) interfere with other tenants' data, security or the availability of the Service. Our Acceptable Use Policy forms part of these Terms.

4. Platform Role & Responsibility for User Content

Verdeshell is a software-as-a-service provider and a neutral technology platform. We do not author, monitor, screen, verify, endorse or control User Content, and we are under no obligation to do so. As between the parties, the Subscriber is solely responsible for its User Content and for all activity conducted through its account (including by its Users), and for the accuracy, quality, legality and reliability of that User Content. Verdeshell is not responsible or liable for any act or omission of any Subscriber or User, or for any unlawful, fraudulent, infringing, defamatory or otherwise harmful User Content or use of the Service. To the extent applicable, Verdeshell acts as an "intermediary" within the meaning of the Information Technology Act, 2000 and the rules made thereunder, and claims the protections (including safe harbour) available to intermediaries. We may, but are not obliged to, remove or disable access to any User Content that we reasonably believe violates these Terms or any law, or in response to a valid legal request.

5. Your Compliance Responsibilities

The Service provides software tools only. You are solely responsible for ensuring that your use of the Service, and the conduct of your business, comply with all laws and regulations applicable to you, including, where relevant: (a) lending, credit and financial-services regulation (including the directions, guidelines and digital-lending norms of the Reserve Bank of India) — Verdeshell is not a bank, non-banking financial company, lender or financial institution, and does not provide credit, lending, investment, financial or debt-collection services; (b) health, medical and food/nutrition regulation — Verdeshell is not a healthcare or nutrition provider and the Service does not provide medical or dietary advice; (c) telecom and commercial-communication rules (including TRAI/DLT registration and the WhatsApp Business Policy); (d) consumer-protection, e-commerce, advertising and tax/GST laws; and (e) data-protection law, including obtaining and maintaining all consents and lawful bases required from your clients and other data subjects whose personal data you process through the Service. You are responsible for obtaining any licences, registrations or regulatory approvals your activities require.

6. Messaging & Electronic Communications

Where the Service enables you to send messages (including WhatsApp messages and email) to your clients or contacts, those messages are your communications, sent at your direction. You are solely responsible for: (a) obtaining all consents required to contact each recipient; (b) the content, accuracy and legality of each message; and (c) compliance with the WhatsApp Business Policy, TRAI/DLT and other commercial-communication and anti-spam rules. Messages are delivered through third-party providers and we do not guarantee delivery. We may suspend or throttle messaging, and third-party providers may block, suspend or ban your sender or number, in response to complaints, low quality ratings or policy violations, and we are not liable for any resulting loss.

7. Subscription & Payment

Subscriptions are billed monthly or annually in advance. Prices are exclusive of applicable taxes (GST for Indian customers). Overage charges for users exceeding the plan limit are billed at the per-user rate on the next invoice. You may cancel your subscription at any time; access continues until the end of the paid billing period. Refunds and cancellations are governed by our Refund & Cancellation Policy. We do not provide refunds for partial periods unless required by applicable law.

8. Intellectual Property & Feedback

Verdeshell retains all right, title and interest in the Service, including all software, documentation and trademarks. You retain ownership of your User Content. By using the Service you grant Verdeshell a limited license to host and process your User Content solely to provide and improve the Service. You may not remove or alter any proprietary notices or labels on the Service. If you provide suggestions, ideas or feedback about the Service, you grant Verdeshell a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate them without restriction or obligation to you.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy and Data Processing Agreement (where applicable). For personal data you submit about your own clients and contacts, you are the data controller and Verdeshell acts as your data processor, processing such data only on your instructions to provide the Service. You represent and warrant that you have a valid lawful basis and have obtained all consents required to store and process such personal data through the Service, including any special-category data (such as health information processed in the Nutrition module).

10. Service Availability & Support

We target 99.5% monthly uptime. Planned maintenance will be communicated in advance. Support is provided by email (connect@verdeshell.com) during business hours (Mon–Sat, 10:00–18:00 IST). Enterprise subscribers receive priority support as specified in their agreements. We are not liable for downtime caused by third-party services, force majeure, or your own network issues.

11. Third-Party Services

The Service relies on third-party services, including cloud hosting and storage (Amazon Web Services), payment processing (Razorpay), and email and WhatsApp messaging providers. Your use of those features may be subject to the third party's own terms, and their availability and acts are outside our control. We are not liable for any loss arising from the acts, omissions, outages, suspension or termination of any third-party service.

12. Data Backup & Data Loss

While we maintain reasonable backups, you are responsible for retaining your own copies of important data and for exporting your data using the tools we provide. To the maximum extent permitted by law, Verdeshell is not liable for any loss, corruption or deletion of data except to the extent directly caused by our gross negligence.

13. Confidentiality

Each party agrees to keep the other's confidential information in strict confidence and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the Agreement for 3 years.

14. No Professional Advice; Accuracy of Outputs

The Service may generate calculations, schedules (including EMI, payment and tax/GST figures), forecasts, plans, reports and other outputs. These are automated tools that may contain errors and are provided for your convenience only. They do not constitute financial, legal, tax, accounting, medical, nutritional or other professional advice, and are not a substitute for your own professional judgment. You must independently verify any output before relying on it for any decision, billing, filing, payment or communication. Verdeshell is not responsible for any decision made or action taken in reliance on the Service or its outputs.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR BUSINESS RESULT. ANY TRIAL, BETA OR PREVIEW FEATURES ARE PROVIDED WITHOUT ANY WARRANTY OR SERVICE COMMITMENT AND MAY BE CHANGED OR WITHDRAWN AT ANY TIME.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDESHELL'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL VERDESHELL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

17. Indemnification

You agree to indemnify, defend and hold harmless Verdeshell and its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) communications sent by you through the Service; (d) your violation of these Terms; (e) your violation of any law or regulation applicable to your business (including lending, health, tax, data-protection or commercial-communication rules); or (f) your violation of any third-party right.

18. Suspension, Content Removal & Law Enforcement

We may remove or disable access to User Content, and suspend or limit your access to the Service, immediately and without prior notice, if we reasonably believe that you, a User or the User Content (a) violate these Terms or any law, (b) pose a security, legal or reputational risk, or (c) are the subject of a valid legal or regulatory request. We may preserve and disclose User Content and account information where we believe in good faith it is required to comply with law or valid legal process, to enforce these Terms, or to protect the rights, safety or property of Verdeshell, our users or the public.

19. Termination

Either party may terminate these Terms upon 30 days' written notice. Verdeshell may also terminate or suspend your access for material breach, non-payment or unlawful use as described above. Upon termination, your right to access the Service ceases. You may export your User Content within 90 days of termination; after that, it will be permanently deleted, except where retention is required by law.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act 1996, seated in Gurgaon, Haryana. The language of arbitration is English. Courts of competent jurisdiction in Gurgaon shall have exclusive jurisdiction for interim relief.

21. Grievance Redressal

For any complaint or grievance relating to the Service, User Content or your personal data, you may contact our Grievance Officer: The Grievance Officer, Verdeshell Technologies Sector 58, Gurgaon, Haryana, India — 122011 Email: connect@verdeshell.com We will acknowledge grievances within the timelines required by applicable law (including the Information Technology Rules, 2021 and the Digital Personal Data Protection Act, 2023) and endeavour to resolve them promptly.

22. Changes to These Terms

We may modify these Terms at any time. We'll provide at least 14 days' notice via email or in-app notification before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

23. General

These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy and any executed Order Form, constitute the entire agreement between you and Verdeshell. If any provision is found unenforceable, the remainder remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger or acquisition.
